Welcome to Risi Industrial Ltd ("Risi," "we," "our," or "us"). By accessing or using our website, you agree to be bound by the following terms and conditions ("Terms").  Please review these Terms carefully, as they apply to all quotations, orders, and transactions with RiSi Industrial Ltd. 

1.1 These Terms govern your use of our website and the purchase of our products. By using our website, you confirm that you are at least 18 years old or have legal parental or guardian consent.
1.2 We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the website constitutes acceptance of the revised Terms.

2.1 Product Descriptions: We strive to provide accurate descriptions of our products. However, we do not warrant that product descriptions, images, or other content are error-free, complete, or current.
2.2 Pricing: All prices are in CAD and exclude applicable taxes, customs, and shipping charges unless otherwise stated. Prices are subject to change without notice.
2.3 Order Acceptance: Orders are deemed accepted upon confirmation in writing. We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspected fraudulent activity.
2.4 Payment Terms:  Payment terms are net 30 days from the invoice date unless otherwise negotiated in writing. Orders placed under COD terms require 50% payment at order placement and the remaining 50% prior to shipment. Custom or engineered orders are, by default, subject to COD terms (50% at order placement and 50% before shipping).

2.4 Selection: Application suitability, system integration, and final product selection remain the responsibility of the customer unless explicitly agreed in writing. RiSi Industrial Ltd. provides recommendations based on information supplied by the customer. 

3.1 Shipping Locations and Rates: We ship within Canada, ex-works Edmonton, AB. Rates and estimated delivery times are provided in quotations.
3.2 Processing Time:  Standard orders are processed according to quotation lead times. Stock items may ship sooner, while engineered or custom products may require extended lead times.  COD orders are processed within 5 business days upon full payment receipt. Delays due to force majeure are not RiSi's responsibility.
3.3 Risk and Title: Risk of loss and title transfer to the customer upon delivery to the carrier.
3.4 Customs and Duties: International shipments may be subject to duties and taxes, which are the customer's responsibility.

4.1 Returns: Eligible returns must be initiated within 5 days of receiving the product. Products must be unused, in original packaging, and accompanied by proof of purchase. Custom or final-sale items are non-returnable.
4.2 Warranty: Goods will conform to specifications at the time of delivery. Claims for defects must be made within a reasonable inspection period, not exceeding two business days from delivery. Beyond this timeframe, goods are deemed accepted.
4.3 Process: Approved returns must be shipped at the customer's expense unless due to an error on our part. Refunds are processed within 30 business days of receiving returned items.
4.4 Limitations: RiSi is not liable for defects arising from improper use, unapproved modifications, or inaccurate specifications provided by the customer.

5.1 All content on this website, including but not limited to designs, illustrations, and data, remains the property of RiSi Industrial Ltd or its licensors.
5.2 Customers are prohibited from unauthorized reverse engineering or duplication of any products or materials without express written consent.

To the fullest extent permitted by law, RiSi Industrial Ltd is not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits or goodwill.

Neither party will be held liable for delays or failures in performance due to uncontrollable events such as natural disasters, strikes, or regulatory changes. Payment obligations remain unaffected.

These Terms are governed by and construed in accordance with the laws of Alberta, Canada. Any disputes will be resolved exclusively in the courts of the province of Alberta.
